1. Scope of these terms
These terms and conditions govern every quotation, order and contract for rigid boxes, folding cartons, mailers and related packaging supplied by Rigid Boxes ("we", "us", "our") to a business customer ("you", "your"). By requesting a quote, approving a sample or placing an order, you agree to be bound by these terms.
2. Quotes and orders
Quotations are valid for 30 days from the date issued unless stated otherwise, and are based on the specification, quantity and materials confirmed at the time of quoting. Any change to artwork, dimensions, materials, finishing or quantity may affect the price and lead time, and will be re-quoted before production begins. An order is only confirmed once you have approved a written quote and, where applicable, signed off a physical sample.
3. Samples and artwork approval
A structural design and a physical pre-production sample are provided free of charge on every new project, with no obligation to order. Production does not begin until you have approved that sample and the final artwork in writing. We are not responsible for errors in artwork, spelling, colour or layout that were present in the files you approved.
4. Pricing and payment
All prices are quoted exclusive of VAT and delivery unless stated otherwise. Payment terms are confirmed on your quote or order confirmation; typically a deposit is required before production starts, with the balance due before or on delivery for new accounts, moving to standard account terms once a trading history is established. Late payment may result in production or delivery being paused.
5. Production and lead times
Lead times quoted are estimates measured in working days from final artwork and sample approval, and can vary with order complexity and seasonal demand. We will notify you as soon as we become aware of any delay. Minor variations in colour, board weight and finished dimensions within normal industry tolerances are not considered a defect.
6. Delivery and risk
Delivery dates are estimates, not guaranteed unless expressly agreed in writing. Risk in the goods passes to you on delivery to the address you provided. Please inspect your order on arrival — any shortage, damage or defect must be reported within 5 working days of delivery so we can put it right.
7. Cancellations and returns
Because every order is manufactured to your specification, orders cannot be cancelled once production has started, and custom packaging cannot be returned for a refund unless it is defective or does not match the approved sample and artwork. Where a defect is confirmed, we will reprint, repair or refund the affected units at our discretion.
8. Intellectual property
You confirm that any artwork, logos or branding you supply do not infringe a third party's rights, and you indemnify us against any claim arising from their use. Structural designs and dielines we create for your project remain our intellectual property unless we agree otherwise in writing, though you're free to use them for reordering with us.
9. Liability
Our liability for any claim relating to an order is limited to the value of that order. We are not liable for indirect or consequential loss, including loss of profit or business, except where such liability cannot be excluded by law (for example, liability for death or personal injury caused by our negligence).
10. Governing law
These terms are governed by the laws of England and Wales, and any dispute will be subject to the exclusive jurisdiction of the courts of England and Wales.
